The following terms and conditions apply to all website development / design services provided by Valid Web Services to the Client. Valid Web Services is an arm of Valid Proof Ventures – a firm dully registered with the Corporate Affairs Commission in Nigeria.
It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote (by hiring our service), then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
2. Our Fees And Deposits
A 50% deposit of the total fee payable under our quote (agreed amount) is due immediately upon you instructing us to proceed with the website design and development work. The remaining 50% shall become due when the work is completed to your reasonable satisfaction but subject to the terms of the “approval of work” and “rejected work” clauses. We reserve the right not to commence any work until the deposit has been paid in full.
The 50% deposit is only refundable if we have not fulfilled our obligations to deliver the work required under the agreement. The deposit is not refundable if the development work has been started and you terminate the contract through no fault of ours.
3. Supply of Materials
You must supply all materials and information required by us to complete the work in accordance with any agreed specification. Such materials may include, but are not limited to, photographs, documented soft copy of texts needed, logos and other materials. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount.
Where you fail to supply materials within 60days, and that prevents the progress of the work, we have the right to invoice you for the balance 50% payment. In such a circumstance, we may have to add your materials to the site in future if supplied before domain name expiration.
4. Failure to provide required website content
Valid Web Services is a small business, to remain efficient we must ensure that work we have programmed is carried out at the scheduled time. On occasions we may have to reject offers for other work and inquiries to ensure that your work is completed at the time arranged.
This is why we ask that you provide all the required information in advance. On any occasion where progress cannot be made with your website because we have not been given the required information in the agreed time frame, and we are delayed as result, we reserve the right to impose a surcharge of up to 25%. If your project involves Search Engine Optimization we need the text content for your site in advance so that the SEO can be planned and completed efficiently.
If you agree to provide us with the required information and subsequently fail to do within one week of project commencement we reserve the right to close the project and the balance remaining becomes payable immediately. Simply put; all the above condition says is DO NOT give us the go ahead to start until you are ready to do so.
5. Additional Expenses
Client agrees to reimburse Valid Web Services for any additional expenses necessary for the completion of the work. Examples would be purchase of Premium Plugins, special fonts, stock photography etc. if it was not included to the initial bargain agreed upon before the start of the website project by Valid Web Services.
6. Transfer & Termination
Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing. The Client will be invoiced for design work completed to the date of first notice of cancellation for payment in full within thirty (30) days. Valid Web Services is fully responsible for the transfer of your website content to any other web-hosting company you register with, the transfer and several fee (for the domain name we gave you) will be fully paid for before we initiate such transfer.
In the case of transfer of website full admin access, hosting access or domain access, an additional fee will be applicable and a renegotiation will be required to determine such amount.
For security reasons; having access to the codes of your website (created by us) will not be allowed except you were train by us to adhere to strict security measures to prevent hacking of your website. Such training shall be a paid training.
All Valid Web Services may be used for lawful purposes only. You agree to indemnify and hold Valid Web Services harmless from any claims resulting from your use of our service that damages you or any other party.
8. Design Credit
A link to Valid Web Services will appear in either small type or by a small graphic at the bottom of the Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. If a client requests that the design credit be removed, a nominal fee of 25% of the total development charges will be applied. When total development charges are higher than N60,00, a fixed fee of N15,000 will be applied. The Client also agrees that the website developed for the Client may be presented in Valid Web Services` portfolio.
9. Domain Names
We dont sell domain names to our hosting or website design customers – they get domain name free from us and its valid for as long as their hosting account is valid with us. You only pay for the domain name if you wish to stop using our hosting services and intend moving away to a different company. As long as you stay with us, you get .com, .org, .net or .info domain name free for your website.
Valid Web Services has a method of purchasing domain names on behalf of the Client without any additional charges for it, then including it FREE of charge to any hosting package the client subscribe for. Payment and renewal of hosting accounts is the responsibility of the Client. The loss, cancellation or otherwise of the hosting brought about by non or late payment is not the responsibility of Valid Web Services. The Client should keep a record of the due dates for payment to ensure that payment is received in good time.
10. Governing Law
This Agreement shall be governed by the Law of the Federal Republic of Nigeria.
